CivitasDX to empower Government agencies to transform digital experiences for organizations and constituents efficiently, effectively, scalably
SAN DIEGO – January 5, 2021
Two San Diego-based, Veteran-owned firms, Agile Six, creators of custom, digital transformation solutions for government agencies, and Cognitive Medical Systems, experts in helping large public and private organizations make the most of their comprehensive healthcare IT investments, announced today the launch of a joint venture.
CivitasDX, a Service-Disabled Veteran-Owned Small Business (SDVOSB), will empower Government entities to transform their front- and back-end digital experience efficiently, effectively, and scalably, beginning with the Veterans Administration. The VA has recently approved the novation of Agile Six’s T4NG (Transformation Twenty-One Total Technology-Next Generation) prime contract to the new joint venture.

CivitasDX LLC Announces Strategic Ownership Updates and Continued Commitment to Veteran-Focused Service Delivery
San Diego, CA – July 2, 2021 – CivitasDX LLC, a Service-Disabled Veteran-Owned Small Business (SDVOSB) Joint Venture and a holder of the Department of Veterans Affairs’ (VA) Transformation Twenty-One Total Technology Next Generation (T4NG) contract, today announced significant and positive strategic changes to its ownership structure. These changes, effective July 1, 2021, are poised to enhance CivitasDX’s capabilities and deepen its commitment to serving the nation’s Veterans.
Previously, CivitasDX was a joint venture majority-owned (51%) by Agile Six Applications, Inc. (Agile Six) and minority-owned (49%) by Cognitive Medical Systems, Inc. (Cognitive). Both Agile Six and Cognitive are CVE-certified SDVOSBs.
As of July 1, 2021, the following ownership changes have occurred:
- Cognitive Medical Systems has increased its ownership stake in CivitasDX to 51%, becoming the majority owner. This was achieved through the purchase of an additional 2% share from Agile Six.
- Halfaker and Associates, LLC (Halfaker) has acquired a 49% ownership share in CivitasDX from Agile Six, becoming the minority owner.
These new ownership positions fortify the existing SBA-approved All-Small Mentor-Protégé relationship between Cognitive (Protégé) and Halfaker (Mentor), which was established on April 30, 2021.
Furthermore, today, July 2, 2021, marks the finalization of the acquisition of Halfaker by Science Applications International Corporation (SAIC), a large business. Importantly, the SBA-approved All-Small Mentor-Protégé agreement between Cognitive and Halfaker will continue, with Halfaker operating as a wholly owned subsidiary of SAIC.
CivitasDX anticipates that all requisite notifications and paperwork concerning these transitions will be provided and filed by Halfaker and Cognitive with the VA’s Technology Acquisition Center (TAC), the Small Business Administration (SBA), and the VA Center for Verification and Evaluation (CVE) during the week of July 5, 2021. This will include the necessary Small Business size status recertification.
Upon approval by the VA CVE, these transactions will result in CivitasDX operating as an SBA-approved All-Small Mentor-Protégé Joint Venture between Cognitive (Protégé) and Halfaker, a wholly owned subsidiary of SAIC (Mentor). CivitasDX will proudly continue to perform as a T4NG SDVOSB contract holder, dedicated to delivering innovative technology solutions to the Department of Veterans Affairs and other federal agencies.
This strategic realignment strengthens CivitasDX’s ability to leverage the combined expertise of Cognitive’s agile development and healthcare IT proficiency alongside Halfaker’s extensive experience in federal technology solutions, now backed by the resources and scale of SAIC.
